What is Rule 506(c)?
Created by the JOBS Act in 2013, Rule 506(c) modernized private fundraising by allowing general solicitation. Key requirements:
- General Solicitation Allowed: Can publicly advertise the offering through any media
- Accredited Investors Only: All purchasers must be accredited investors
- Verification Required: Must take reasonable steps to verify accredited status (not just self-certification)
- Verification Methods: Tax returns, bank statements, broker letters, or third-party verification services
